Senior Officer – Corporate & Funds Governance
Your Day-to-Day
- Maintain corporate records and legal documentation (e.g. shareholder registers, RCS filings) in full compliance with Luxembourg regulations.
- Review investment documentation (e.g. term sheets, SPAs, shareholder agreements) to ensure alignment with governance and regulatory requirements.
- Act as primary point of contact with external stakeholders such as administrators, auditors, legal counsel, and tax advisors.
- Coordinate the investment approval process: prepare investment memos, liaise with operators, and organize Investment Committee meetings.
- Collect and validate transaction data required for regulatory filings (Annex IV, RC reports, etc.).
- Draft and review regulatory reports and submissions to the CSSF and other authorities.
- Support the onboarding of new funds in collaboration with structuring, legal, and tax teams.
- Participate actively in internal committees (Risk, Valuation, Investment, etc.).
Your Profile
- Degree in Law, Business Administration, Economics, or another relevant discipline.
- 3–5 years of experience in Luxembourg within an AIFM, service provider, or investment firm, ideally with exposure to private equity, venture capital, real estate, or other alternatives.
- Strong knowledge of AIFMD, Luxembourg company law, accounting principles, and fund governance frameworks.
- Familiar with investment documentation, fund structures, and Luxembourg legal entities (SCS, SCSp, etc.).
- Detail-oriented with strong organizational and documentation skills.
- Fluent in English; French or another European language is an advantage.
- Excellent communication abilities and a structured, proactive approach to work.
