Senior Corporate Officer (Management company) (M/F)

Your Day-to-Day

  • Drafting and Reviewing Documents: Prepare, review, and finalize various corporate documents, including verbal contracts and board/shareholder resolutions.
  • Company Incorporations: Handle the incorporation process of new entities and ensure compliance with all relevant laws and regulations.
  • RCS Filings: Ensure accurate and timely filings with the Luxembourg Trade and Companies Register (RCS).
  • RBE Management: Manage the Register of Beneficial Owners (RBE), ensuring up-to-date and accurate information.
  • Registers Maintenance: Maintain and update statutory registers, including shareholder and director registers.
  • Corporate Compliance: Monitor and ensure compliance with corporate obligations, including those under AIFM regulations.
  • Coordination of Board Meetings: Organize and prepare for board and shareholder meetings, including drafting agendas, minutes, and resolutions.
  • Share Capital Operations: Assist with capital increases, reductions, transfers, and other share-related matters.
  • Liaison with Stakeholders: Act as a point of contact with external parties such as auditors, notaries, and regulatory authorities.
  • Document Safekeeping: Maintain corporate records and ensure their proper archiving in compliance with company policies.
  • Support for Legal and Financial Teams: Collaborate with internal departments to provide corporate expertise, particularly for transactions involving AIFM structures.

Your Profile

  • Experience and Education:

Minimum of 3 years of experience in a similar role, ideally in a corporate in-house setting or fund holding environment (SARL structures).

A degree in Law, Business Administration, or a related field is preferred.

  • Technical Knowledge:

Strong understanding of Luxembourg corporate law, RCS, and RBE requirements.

Familiarity with AIFM regulations and their impact on corporate operations.

Proficiency in drafting and reviewing corporate documentation.

  • Skills and Competencies:

Exceptional attention to detail and organizational skills.

Strong communication abilities, both written and verbal, in English (French is a plus).

Ability to manage multiple priorities and meet deadlines in a dynamic environment.

  • IT Skills:

Proficient in MS Office Suite (Word, Excel, PowerPoint).

Experience with corporate management tools is a plus.
