Corporate Secretary
Your day to day
- Manage corporate governance matters and board administration activities
- Prepare and distribute board meeting materials, agendas and minutes
- Ensure compliance with company law and regulatory filing requirements
- Maintain corporate records, registers and statutory documentation
- Coordinate annual general meetings and extraordinary shareholder meetings
- Liaise with regulatory authorities and handle official correspondence
- Support legal and compliance matters including contract management
- Assist with corporate restructuring projects and entity formations
- Monitor changes in corporate governance regulations and best practices
Your profile
- Law degree or professional qualification in corporate secretarial practice
- 3-5 years experience as corporate secretary in financial services sector
- Thorough knowledge of Luxembourg company law and corporate governance
- Experience with board portal software and document management systems
- Strong organizational and administrative capabilities
- Excellent interpersonal and stakeholder management skills
- Multilingual abilities (English, French, German advantageous)
- Professional membership with relevant corporate secretarial institute
- Understanding of insurance or investment fund regulations beneficial
